These Terms of Service ("Terms") govern your access to and use of Teachery's websites, applications, and related services (collectively, the "Services"). Teachery is operated by Really Awesome Company, Inc., doing business as Teachery ("Teachery," "we," "us," or "our"). Please read these Terms together with our Privacy Policy.
1. Agreement to these terms
By visiting, registering for, or using the Services, you agree to these Terms and any additional rules or policies we make applicable to particular features. If you do not agree, do not use the Services. These Terms apply to visitors, account holders, creators, and other users.
2. Eligibility and accounts
You must be at least 13 years old to use Teachery, and you must be legally permitted to use the Services where you live. We may decline registrations or restrict eligibility where legally necessary or otherwise permitted.
When creating an account, provide accurate information and keep it current. You are responsible for safeguarding your login credentials and for activity under your account. Do not share your password publicly or use another person's account without authorization. Notify our support team promptly about unauthorized access or a security breach. You may request deletion of your account through the Services or our support team.
3. What Teachery provides
Teachery provides tools for creating, selling, managing, and delivering courses, digital products, memberships, communities, and related content. We may add, change, limit, suspend, or discontinue features, and we do not promise that any particular feature or content will remain available indefinitely.
We grant you a limited, worldwide, nonexclusive, nontransferable, nonsublicensable license to access and use the Services in accordance with these Terms. This does not transfer ownership of Teachery's software, designs, trademarks, or other intellectual property to you.
4. Your content and intellectual property
You remain responsible for the text, images, video, audio, course materials, products, comments, customer information, and other materials you upload, publish, or make available through Teachery ("Creator Content"). You retain whatever ownership rights you have in your Creator Content. You must have the permissions and rights necessary to create, upload, sell, and distribute it.
You authorize Teachery and its service providers to host, store, process, reproduce, display, and deliver Creator Content as reasonably necessary to operate, maintain, secure, and support the Services and fulfill your instructions. You are responsible for the legality, accuracy, and availability of your Creator Content and for your dealings with students and customers.
Other content made available through the Services may belong to Teachery or third parties and may be protected by intellectual property laws. You may not copy, resell, redistribute, or exploit that content outside the permissions granted to you or otherwise allowed by law.
We may review, restrict, remove, or block content if we believe it violates these Terms, creates risk, or is the subject of a legal or third-party complaint. We do not guarantee the continued availability of any specific content.
5. Acceptable use
You must comply with applicable laws and respect the rights of others. You may not use Teachery to infringe intellectual property rights; deceive, defraud, threaten, harass, or impersonate others; publish unlawful or otherwise prohibited material; send unsolicited bulk messages; distribute malware; disclose another person's sensitive identifying or financial information without authorization; or violate privacy or contractual obligations.
You also may not interfere with the Services, overload our infrastructure, bypass security or access controls, access another account without permission, scrape or harvest content or data without authorization, or reverse engineer or copy our software except where applicable law permits it.
We may investigate suspected misuse and take appropriate action, including removing content or suspending or terminating access. Where reasonably necessary, we may preserve or disclose information to comply with law, respond to valid requests, address fraud or security issues, provide support, or protect rights and safety, subject to applicable law and our Privacy Policy.
6. Teachery subscriptions, trials, and billing
Some Teachery features may be free, offered during a trial, or available only with a paid plan. By purchasing a monthly or annual plan, you authorize our payment processor to charge your chosen payment method for the applicable price and any required taxes at the stated billing interval until you cancel.
You must keep your billing and payment details accurate and current. If a payment fails, amounts owed remain due, and access to paid features may be restricted. You authorize us to correct billing errors where permitted by law.
Unless otherwise required by applicable law or expressly agreed in writing, payments are nonrefundable, including payments for partially used billing periods, unused time, and plan changes. To avoid a charge after a free trial, cancel before that trial ends. Contact support if you cancel on time but are charged in error.
We may change fees or payment policies, but will provide at least 30 days' notice before a change applies to an upcoming billing cycle. Any additional notice or cancellation rights required by law will continue to apply.
7. Lifetime accounts
A Teachery lifetime account is purchased for a one-time, upfront price. It provides access under the terms of the purchased lifetime plan while Teachery continues operating; it does not guarantee that Teachery will remain in business for your lifetime or for any minimum period.
While your lifetime account remains active, we will not charge additional Teachery account fees for the benefits included in your purchased lifetime plan unless you and Teachery agree otherwise. A lifetime plan does not automatically include every future product, add-on, or third-party service unless expressly stated in the offer.
We will give lifetime account holders at least 30 days' notice of a pending sale of Teachery or a planned closure and liquidation, consistent with our existing lifetime-account policy. Lifetime-account purchases are nonrefundable except where applicable law requires otherwise.
8. Payments between creators and customers
When you sell products through Teachery, customer payments may be handled by payment services connected to your account, such as Stripe, depending on the integrations available. Those transactions are also governed by the payment provider's terms and policies. Teachery is not responsible for payment-processing errors or interruptions caused by third-party providers.
You are responsible for your offerings, prices, applicable taxes, customer communications, refunds, chargebacks, and legal obligations to your buyers unless a specific Teachery feature or separate agreement expressly provides otherwise. Payment-provider fees and other third-party charges may apply.
9. AI assistant
Teachery may offer an AI assistant that helps you draft, build, edit, organize, or manage materials and settings within your account. The assistant can produce incorrect, incomplete, or unsuitable results. You are responsible for reviewing its output and actions before relying on them or making them available to your students or customers.
When you instruct or authorize the assistant to act within your account, those actions are treated as actions taken on your behalf. If the assistant requests confirmation before making a change, your confirmation authorizes that action. You remain responsible for your instructions, published content, customer-facing statements, and account settings.
The assistant is a feature of the Teachery Services rather than a separately purchased product unless we expressly say otherwise. It may depend on external AI service providers, and its capabilities or availability may change or be discontinued. Please review our Privacy Policy for information on applicable data processing and disclosures. Do not submit sensitive information to the assistant unless you are authorized to do so and the feature is appropriate for that information.
10. Third-party services and subprocessors
Teachery may integrate with or link to third-party websites, software, payment processors, analytics platforms, hosting services, and other providers. Their services are governed by their own terms and privacy practices. We do not control or endorse every linked service and are not responsible for third-party content, functionality, or losses arising from your use of those services, to the extent permitted by law.
We use service providers and subprocessors to operate Teachery and process data as described in our applicable privacy and data-processing documentation. For the latest details about data handling, consult our Privacy Policy and any applicable data-processing agreement.
11. Suspension, cancellation, and termination
You can stop using Teachery and cancel or request deletion of your account through the available account controls or by contacting support. Subject to applicable law, we may suspend or end access to some or all Services, with or without notice, for violations of these Terms, security or legal concerns, or other permissible reasons.
Account termination may result in loss of access to content, data, and features. Export any information you need before cancellation or termination when an export is available. Fees already paid are not refundable except where law requires otherwise. Provisions that should reasonably continue after termination, including intellectual property, disclaimers, indemnification, and liability limits, will survive.
12. No warranties
To the maximum extent permitted by applicable law, the Services and content are supplied "as is" and "as available," without express or implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
We do not promise uninterrupted or error-free operation, complete security, correction of every defect, freedom from harmful components, or results that satisfy your specific needs. Teachery is not responsible for verifying the accuracy or legality of content provided by creators or other third parties. You use the Services at your own risk, subject to rights that cannot legally be excluded.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Teachery and its affiliates, employees, contractors, directors, suppliers, and representatives against third-party claims, liabilities, losses, and reasonable legal expenses arising from your misuse of the Services, your breach of these Terms, your Creator Content, or an infringement of another person's rights by you or someone using your account. We may assume control of the defense of a claim subject to indemnification, and you agree to reasonably cooperate.
14. Limitation of liability
To the maximum extent permitted by law, Teachery and its directors, employees, agents, partners, suppliers, and content providers will not be liable for lost profits, loss of data, replacement-service costs, or indirect, incidental, special, punitive, or consequential damages arising from the Services, including damage caused by malicious software or service interruptions.
To the maximum extent permitted by law, Teachery's aggregate liability for direct damages relating to the Services will not exceed the greater of (a) the fees you paid Teachery for the relevant Services during the three months immediately before the event giving rise to the claim or (b) US $500. Nothing in these Terms excludes liability that cannot be excluded or restricted under applicable law.
15. Governing law and disputes
These Terms are governed by the laws of the State of Florida and applicable United States law, without overriding mandatory consumer protections that apply to you. Subject to any nonwaivable rights or jurisdictional rules, disputes arising from these Terms or the Services will be brought in the state or federal courts located in St. Johns County, Florida.
16. Changes to the Services and these Terms
We may modify the Services or update these Terms. When we make changes, we may post an updated version on our website or notify you through the Services, by email, or by another reasonable electronic method. We will revise the last-updated date above. Continued use after changes become effective constitutes acceptance to the extent permitted by law. If you disagree with an update, stop using the Services and cancel your account.
17. General legal provisions
These Terms, the Privacy Policy, and any expressly incorporated additional terms form the agreement concerning your use of the Services and supersede earlier communications on that subject. If a provision is unenforceable, the remainder will continue in effect. Failure to enforce a provision is not a waiver of our right to enforce it later.
We are not liable for delays or failures caused by events outside our reasonable control, including infrastructure, communication, or other service disruptions. You may not assign your rights under these Terms without our written consent; Teachery may assign its rights and obligations as permitted by law. These Terms do not create an employment, agency, partnership, or joint-venture relationship.
Notices required under these Terms should be provided in writing through reasonable and legally permitted delivery methods, including electronic communication where appropriate. Section headings are included for convenience and do not affect interpretation.
